Feedback sought on Governance Review
The independent review of Careerforce's (CSSITO Ltd) governance structure has been completed and the report is available by clicking on the link below.
The Report comprises two main sections, the first of which is the most significant in terms of implications for constitutional change:
- Composition, nomination and appointment of the Board
- Activities, operation and structure of the Board

The period for providing feedback closes on Friday 19 March.
All survey responses will be forwarded directly to an independent analyst to collate and analyse.
About the Governance Review
Careerforce has initiated an independent review of the composition, structure and operation of its Board with the objective of ensuring that Careerforce governance is positively contributing to the ITO meeting industry needs. The review will be undertaken by Graeme McNally, with assistance from Jane Huria, both of whom are experienced governance advisors and consultants.
The review includes:
1) A review of the processes relating to Board positions and appointments, including the Careerforce (CSSITO Ltd) Constitution and also including:
- An independent review of Section 10 of the Constitution
- An independent review of the Shareholders Agreement, specifically Section 10 (Appointments to the Board) which states that “all Board appointments will be based on skills, experience and qualifications”.
2) Board policies and Board operating procedures particularly relating to the:
- Focus of Board discussions and meetings
- Contents of Board meeting papers and other management reports to the Board
- The Board Committees and their relationships to the Board.
3) Policies and practices relating to Board consultation and communication with Careerforce (CSSITO Ltd) shareholders and stakeholders.

Review Process
The process for undertaking the review will include at least three different opportunities for participation by employers, industry organisations and the Board. These are:
- Questionnaires to obtain feedback and opinions relating to this review (completed)
- Focus groups (up to eight) to follow up on issues raised in the questionnaire responses (to be held at the end of January / early February 2010) (completed)
- One on one” interviews (to be held in late January / early February 2010). (completed)
- In addition the review will consider and evaluate existing governance policies, practices and procedures.
It is proposed that a draft report be provided to the Careerforce Board in mid February 2010, to be followed by consultation with the industry (see above).
